1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of joinrook.co(the "Site") operated by Clearlake Group Ltd ("Rook", "we", "us" or "our"). By accessing the Site or joining the Rook waitlist, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Eligibility

The Site is intended for business users who are at least 18 years old and able to form a binding contract. By using the Site you represent that you meet these requirements and that any information you provide is accurate and complete.

3. The Waitlist

Rook is currently available on a waitlist basis. Joining the waitlist does not guarantee that you will be granted access to the Rook product, nor does it create any obligation on us to provide the product to you. There are no fees associated with joining the waitlist at this stage. If and when the product becomes available to you, separate product terms may apply.

4. Permitted Use of the Site

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your own informational and evaluation purposes, subject to these Terms. You agree to use the Site only for lawful purposes.

5. Intellectual Property

The Site and all of its content — including the Rook name, logo, branding, text, graphics, design, and software — are owned by or licensed to us and are protected by intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, or create derivative works from any part of the Site without our prior written consent.

6. Acceptable Use / Prohibited Conduct

You agree not to:

• Use the Site in any way that violates applicable law or these Terms;
• Submit false, misleading, or fraudulent information (including on the waitlist form);
• Attempt to gain unauthorised access to, interfere with, or disrupt the Site or its underlying infrastructure;
• Use automated means (such as bots or scrapers) to access or collect data from the Site without our permission;
• Introduce viruses, malware, or other harmful code, or otherwise abuse the Site.

7. Third-Party Links

The Site may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party sites, and access to them is at your own risk.

8. Disclaimers

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on the Site is accurate or complete.

9. Limitation of Liability

To the maximum extent permitted by law, in no event will Rook or its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of (or inability to use) the Site, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

You agree to indemnify and hold harmless Rook and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site or your breach of these Terms.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of England & Wales, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the courts of England & Wales.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
